Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and OrbitX Studio ("OrbitX," "we," "us," or "our") governing your use of Watchly applications, https://watchly.orbitx.studio, and related services (collectively, the "Service").

By downloading, installing, creating an account, or using Watchly, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Watchly is a personal media hub that helps you organize, discover, and play content from sources you connect. Supported sources may include local files, external drives, Plex, Jellyfin, cloud storage (Google Drive, Dropbox, OneDrive, Box), network shares (SMB, FTP, NFS, WebDAV), direct URLs, and libraries shared over your local network.

Watchly provides metadata enrichment, playback, cross-device sync, casting, library sharing, and account features. We do not host, sell, or distribute media content on your behalf.

Features may vary by platform. Some capabilities — such as Nearby casting, file upload over Wi‑Fi, or native OAuth for certain cloud providers — are available only on specific devices.

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use Watchly. If you are under the age of majority where you live, you may use the Service only with permission from a parent or legal guardian who accepts these Terms on your behalf.

You represent that you have the legal capacity to enter into these Terms and that all information you provide is accurate.

• You may need a Watchly account to sync data across devices, activate Apple TV, or access certain features.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• Notify us immediately at support.watchly@orbitx.studio if you suspect unauthorized access.
• We may suspend or terminate accounts that violate these Terms or pose a security risk.

You retain ownership of the media files and personal content you access through Watchly. You are solely responsible for ensuring you have the legal right to access, store, and play that content.

Watchly does not monitor your personal library. You agree not to use the Service to infringe copyright, distribute unlawful content, or violate any third party's rights.

You grant OrbitX a limited license to process your account metadata and connected-source credentials solely to operate and improve the Service for you.

You agree not to:

• Use Watchly for any unlawful purpose or in violation of applicable law.
• Circumvent technical limits, security measures, subscription restrictions, or device limits.
• Reverse engineer, decompile, or attempt to extract source code except where permitted by law.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Use automated means to access the Service in a manner that imposes an unreasonable load on our infrastructure.
• Share account credentials or subscription benefits in a way that violates Apple's or our policies.
• Misrepresent your identity or affiliation with any person or entity.

Watchly integrates with third-party platforms such as Apple, Google, Supabase, TMDB, Plex, Jellyfin, and cloud storage providers. Your use of those services is governed by their own terms and policies.

We do not control and are not responsible for third-party services, including availability, data handling, pricing changes, or policy enforcement by those providers.

If a third-party service becomes unavailable or changes its API, features that depend on that service may be modified or discontinued.

Watchly offers optional paid features through Watchly PRO, sold as auto-renewing subscriptions via the Apple App Store.

• Plans — monthly and yearly subscriptions may be offered. Prices and availability are shown in the app at purchase time and may vary by region.
• Free trial — eligible users may receive a 7-day free trial. If you do not cancel before the trial ends, your subscription converts to a paid plan and Apple charges your Apple ID.
• Billing — payment is charged to your Apple ID at confirmation of purchase. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period.
• Management — you can view, change, or cancel subscriptions in your Apple ID account settings at https://apps.apple.com/account/subscriptions.
• Refunds — billing and refund requests are handled by Apple under Apple's policies. OrbitX cannot issue App Store refunds directly.
• Family Sharing — where enabled, eligible PRO benefits may be shared with family members through Apple's Family Sharing. Family Sharing is managed by Apple.
• Device limits — PRO may include limits on linked devices or connected sources. Current limits are displayed in the app.

Watchly may be used without a PRO subscription, subject to feature limits shown in the app. We may change free-tier limits, features, or availability at any time.

Watchly PRO is ad-free. We do not display third-party advertising in PRO.

Watchly includes features that communicate over your local network, including casting playback to another device, sharing your library with nearby Watchly users, and uploading files from a browser on the same Wi‑Fi network.

You are responsible for configuring your network securely and for sharing access only with people and devices you trust.

OrbitX is not responsible for content transferred between your devices or over your local network.

Watchly, including its software, design, trademarks, and documentation, is owned by OrbitX and its licensors and is protected by intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted by law or with our written consent.

Metadata and artwork provided through TMDB and other licensors remain subject to those licensors' rights.

If you submit ideas, suggestions, or feedback, you grant OrbitX a perpetual, worldwide, royalty-free license to use that feedback without obligation to you.

We strive to keep Watchly reliable, but the Service is provided on an "as available" basis. We may modify, suspend, or discontinue features at any time, including beta or platform-specific features.

We may release updates that are required for security or compatibility. Some updates may be installed automatically depending on your device settings.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

OrbitX does not warrant that the Service will be uninterrupted, error-free, secure, or compatible with every file format, server, or network configuration.

You use third-party services and your own media at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBITX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, GOODWILL, OR MEDIA CONTENT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBITX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ORBITX FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless OrbitX from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your connected sources, or your violation of these Terms or applicable law.

You may stop using Watchly at any time and delete your account as described in our Privacy Policy.

We may suspend or terminate your access immediately if you violate these Terms, create risk for other users, or where required by law.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

These Terms are governed by the laws of India, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence provide otherwise.

Before filing a formal dispute, you agree to contact us at support.watchly@orbitx.studio and attempt to resolve the issue informally within 30 days.

Except where prohibited by applicable law, courts located in India will have exclusive jurisdiction over disputes arising from these Terms or the Service.

If you downloaded Watchly from the Apple App Store, you acknowledge that:

• These Terms are between you and OrbitX only, not Apple.
• Apple has no obligation to provide maintenance or support for Watchly.
• Apple is not responsible for product claims, intellectual property claims, or third-party claims relating to Watchly.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide notice in the app or on our website.

Continued use of Watchly after changes take effect constitutes acceptance of the revised Terms.
